These Terms govern your access to and use of our AI and ML deployment services, including any software, programs, documentation, tools, internet-based services, and support provided by us (collectively, "Services").
a. Access: You must register for an account to access our Services. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
b. Permissions: You grant us permission to access your personal cloud environment for the purpose of deploying and managing AI/ML models as per your instructions.
c. Compliance: You agree to use our Services only for lawful purposes, in compliance with all applicable laws, regulations, and policies.
a. User Data and Models: You retain full rights to your data and the models deployed to your cloud environment through our Services, excluding any models developed directly by Small Hours. You are entitled to remove your data and models from the platform at any time, unless the model was developed by Small Hours, in which case specific terms of use or licensing may apply.
b. Service-Developed Models: For models developed by Small Hours, we retain full ownership and intellectual property rights. These models are provided to you under a license, which is revocable, non-exclusive, non-transferable, and subject to the terms of these ToS.
a. Prohibited Activities: You may not use our Services to engage in illegal, abusive, or other activities that interfere with the business or activities of others.
b. Intellectual Property: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our proprietary material, except as permitted under these Terms.
c. No Reverse Engineering: You may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of our Services.
a. Fees: You agree to pay the applicable fees for the Services used. We will provide you with the pricing information prior to your use of any Services that are subject to fees.
b. Payment Terms: Payment terms will be specified in your order or subscription for Services.
a. Ownership: We retain all right, title, and interest in and to the Services, including all related intellectual property rights. Your use of the Services does not grant you any ownership in our Services or the content you access.
b. Feedback: We welcome feedback, comments, and suggestions for improvements to the Services. You grant us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use any feedback you provide.
a. Confidential Information: Both parties agree to keep confidential any proprietary information exchanged during the use of the Services.
a. Termination: We may terminate your access to all or any part of our Services at any time, with or without cause, with or without notice.
a. No Warranties: Our Services are provided "as is." We disclaim all warranties, express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
b. Limitation of Liability: In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.
You agree to indemnify and hold harmless Small Hours and its officers, directors, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses arising from your use of and access to the Services.
We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the updated Terms on our website and updating the "Last Updated" date.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws rules.
